REVISED POSITION LIMITS FOR EXCHANGE TRADED CURRENCY DERIVATIVES

Circular No. - CIR/MRD/DP/ 22 /2013
Dated – 08/07/2013

1.   This is in partial modification of SEBI Circular No. SEBI/DNPD/Cir-38/2008 dated August 6, 2008, SEBI/DNPD/Cir-45/2009 dated March 24, 2009, CIR/DNPD/5/2010 dated July 30, 2010 and CIR/DNPD/2/2012 dated May 23, 2012 which, inter-alia, specified the position limits applicable for Client and Trading Member for Exchange Traded Currency Derivatives.

2.   In consultation with RBI and in view of the recent turbulent phase of extreme volatility in USD-INR exchange rate, it has been decided to curtail position limits and increase margin requirements for Currency Derivatives as follows:

a.   Margins: Initial and extreme loss margins shall be increased by 100% of the present rates for USD-INR contracts in Currency Derivatives.

b.   Client level position limits: The gross open position of a client across all contracts shall not exceed 6% of the total open interest or 10 million USD, whichever is lower.

c.   Non-bank Trading Member position limits: The gross open position of a Trading Member, who is not a bank, across all contracts shall not exceed 15% of the total open interest or 50 million USD whichever is lower.

3.   Stock Exchanges are directed to:

a.   take necessary steps to put in place systems for implementation of the circular, including necessary amendments to the relevant byelaws, rules and regulations;

b.   implement provisions of this circular with effect from July 11, 2013;

c. bring the provisions of this circular to the notice of the trading members/clearing members and also disseminate the same on its website.

ARBITRATION MECHANISM IN STOCK EXCHANGES

Circular No. - CIR/MRD/ICC/21/2013
Dated- 05/07/2013

1.   Reference may be made to circulars no. CIR/MRD/DSA/24/2010 dated August 31,2010, CIR/MRD/SA/03/2012 dated January 20, 2012 and CIR/MIRSD/2/2012 dated February 15, 2012 regarding investor service centres providing inter alia arbitration facility (arbitration as well as appellate arbitration). Presently, these facilities are being provided at 8 centres viz. Delhi, Mumbai, Kolkata, Chennai, Ahmedabad, Hyderabad, Kanpur and Indore.

2.   With a view to extend these facilities, it has been decided to increase the number of investor service centres providing inter alia arbitration facility (arbitration as well as appellate arbitration). Increasing the number of centres shall reduce the travelling and other incidental costs to investors in case they choose to avail these facilities. The following is decided:

a.   Stock Exchanges with nation-wide terminals shall set up investor service centres at Bangalore, Pune, Jaipur, Gaziabad, Lucknow, Gurgaon, Patna and Vadodara. These centres shall provide investor grievances redressal mechanism and arbitration facility (arbitration as well as appellate arbitration).

b.   The investor service centres at Bangalore, Pune, Jaipur and Gaziabad shall be established before December 31, 2013.

c.   The investor service centres at Lucknow, Gurgaon, Patna and Vadodara shall be made functional by June 30, 2014.

3.   The stock exchanges are advised to:-
a. make necessary amendments to the relevant bye-laws, rules and regulations for the implementation of the above decision immediately;

b.   bring the provisions of this circular to the notice of the members of the stock exchange and also to disseminate the same through their website; and

c.   communicate to SEBI, the status of implementation of the provisions of this circular in the Monthly Development Reports to SEBI.

4.  SEBI inspection of stock exchange shall cover implementation of this circular.


5.   This Circular is issued to protect the interests of investors in securities and to promote the development of, and to regulate the securities market and shall come into effect immediately.

ENHANCEMENT IN FOREIGN INVESTMENT LIMITS IN GOVERNMENT DEBT

Circular No.:- CIR/IMD/FIIC/8/2013
Dated :- 12/06/2013

1. The Government of India has enhanced the Government Debt Limits by USD 5 billion (equivalent to approximately INR 29,137 cr converted at the RBI reference rate of 1 USD = INR 58.274 as on June 12, 2013).

2. It has been decided that the aforesaid enhanced limit of USD 5 billion shall be available for investments only to those FIIs which are registered with SEBI under the categories of Sovereign Wealth Funds (SWFs), Multilateral Agencies, Endowment Funds, Insurance Funds, Pension Funds and Foreign Central Banks.

3. To begin with, the amount of USD 5 billion together with the unutilized limit of INR 29,812 cr (equivalent to approximately USD 6.2 billion) as on May 31, 2013 (due for auction on June 20, 2013) will be made immediately available for investment on tap by these investors mentioned in Para 2 above.

4. The amount not utilized as on June 18, 2013 (out of the presently unutilized limit of INR 29,812 cr) will be put on auction on June 20, 2013. Similar exercise shall continue every month.


5. With regard to those FIIs which have exhausted their reinvestment limits, as a onetime measure, a special window of up to USD 250 million per FII shall be available till the date of the next auction i.e. June 20, 2013 subject to the aggregate investments in Government debt by all FIIs/QFIs being limited to USD 25 Billion (i.e. the limit other than the limit of USD 5 billion earmarked for investors mentioned in Para 2 above). Such investments made by FIIs using the special window shall be subject to a lock-in of 90 days. Moreover, these investments will not be eligible for re-investment facility.

ESTABLISHMENT OF CONNECTIVITY WITH BOTH DEPOSITORIES NSDL AND CDSL – COMPANIES ELIGIBLE FOR SHIFTING FROM TRADE FOR TRADE SETTLEMENT (TFTS) TO NORMAL ROLLING SETTLEMENT

1.It is observed from the information provided by the depositories that the Companies listed in Annexure ‘A’ have established connectivity with both the depositories.

2. The stock exchanges may consider shifting the trading in these securities to normal Rolling Settlement subject to the following:

a) At least 50% of other than promoter holdings as per clause 35 of Listing Agreement are in dematerialized mode before shifting the trading in the securities of the company from TFTS to normal Rolling Settlement. For this purpose, the listed companies shall obtain a certificate from its Registrar and Transfer Agent (RTA) and submit the same to the stock exchange/s. However, if an issuer-company does not have a separate RTA, it may obtain a certificate in this regard from a practicing company Secretary/Chartered Accountant and submit the same to the stock exchange/s.

b) There are no other grounds/reasons for continuation of the trading in TFTS.

3. The Stock Exchanges are advised to report to SEBI, the action taken in his regard in the Monthly/Quarterly Development Report.

SCHEME OF ARRANGEMENT UNDER THE COMPANIES ACT, 1956 –REVISED REQUIREMENTS FOR THE STOCK EXCHANGES AND LISTED COMPANIES – CLARIFICATION

1. This is with reference to SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013 on the captioned subject.

2. Subsequent to the issuance of the aforesaid Circular, SEBI has received queries/representations from market participants expressing operational difficulties in implementing certain provisions of the said Circular. Accordingly, upon examination of the representations and concerns raised therein, it has been decided to provide clarifications and modify certain provisions of the said Circular as detailed below:

3. Applicability:
3.1. SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013 is applicable to all listed companies undertaking a Scheme of Arrangement under Part IV and Chapter V of Part VI of the Companies Act, 1956, (Amalgamation/ Merger/ Reconstruction/ Reduction Of Capital, etc.)

3.2. Thus, it is hereby clarified that the Circular referred to in paragraph 3.1 above and this Circular are applicable even to cases where no exemption from Rule 19(2)(b) of Securities Contracts (Regulation) Rules, 1957 is sought from SEBI.

4. Requirement of submission of Valuation Report from Independent Chartered Accountant:

4.1. All listed companies undertaking a Scheme of Arrangement under Part IV and Chapter V of Part VI of the Companies Act, 1956, (Amalgamation/ Merger/ Reconstruction/ Reduction Of Capital, etc.) are required to submit a valuation report in terms of Para (I) (A) read with Part A, Annexure I of the SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013.

4.2. However, ‘Valuation Report from an Independent Chartered Accountant’ need not be required in cases where there is no change in the shareholding pattern of the listed company / resultant company.

4.3. For the limited purpose of this Circular, ‘change in the shareholding pattern’ shall mean;

(a)  Change in the proportion of shareholding of any of the existing shareholders of the listed company in the resultant company; or

(b)  New shareholder being allotted equity shares of the resultant company; or

(c)  Existing shareholder exiting the company pursuant to the Scheme of Arrangement

4.4. Further, a few examples meaning ‘no change in shareholding pattern’ are illustrated below:

i. In case a listed entity (say, “entity A”) demerges a unit and makes it a separate company (say, “entity B”);

a. if the shareholding of entity B is comprised only of the shareholders of entity A; and

b. if the shareholding pattern of entity B is the same as in entity A; and

c. every shareholder in entity B holds equity shares in the same proportion as held in entity A before the demerger.

 It will be treated as ‘no change in shareholding pattern’.

ii. In case a wholly-owned-subsidiary (say, “entity X”) of a listed entity is merged with the parent listed company (say, “entity Y”), where the shareholders and the shareholding pattern of entity Y remains the same, it will be treated as ‘no change in shareholding pattern’.

4.5. In all other cases, ‘Valuation Report from an Independent Chartered Accountant’ shall be required.

4.6. For the limited purpose of this Circular, ‘resultant company’ shall mean a company arising / remaining after the listed company undertakes a Scheme of Arrangement.

5. Para  5.3  of  Circular dated February 4,  2013 is  modified as  follows:

5.3 If a company is listed on any stock exchange having nationwide terminals and/or regional stock exchange, it shall choose the stock exchange having nation-wide trading terminals as the designated stock exchange for the purpose of coordinating with SEBI.

5.3.(a) For companies listed solely on regional stock exchange, wherein exemption from Rule 19(2)(b) of Securities Contracts (Regulation) Rules, 1957 is sought, the company shall obtain in-principle approval for listing of equity shares on any stock exchange having nationwide trading terminals.

5.3.(b) For companies listed solely on regional stock exchange, wherein exemption from Rule 19(2)(b) of Securities Contracts (Regulation) Rules, 1957 is not sought by the company, the following shall apply:

One of the stock exchanges having nationwide trading terminals shall provide a platform for dissemination of information of such Schemes and other documents required under the SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013. For such purpose, stock exchanges having nationwide trading terminals may charge reasonable fees from such companies.

6. Following clause shall be inserted in Para 5.10 of the Circular dated February 4, 2013 in view of 5.3 (a) above:

5.10 (d) Date of receipt of copy of in-principle approval for listing of equity shares of the company seeking exemption from Rule 19(2)(b) of Securities Contracts (Regulation) Rules, 1957 on designated stock exchange, in case the company is listed solely on regional stock exchange.

7. Para 5.16 of the Circular dated February 4, 2013 shall stand replaced as under:

5.16  (a) Listed companies shall ensure that the Scheme submitted with the Hon’ble High Court for sanction, provides for voting by public shareholders through postal ballot and e-voting, after disclosure of all material facts in the explanatory statement sent to the shareholders in relation to such resolution, in the following cases:

i. Where additional shares have been allotted to Promoter / Promoter Group, Related Parties of Promoter / Promoter Group, Associates of Promoter / Promoter Group, Subsidiary/(s) of Promoter / Promoter Group of the listed company, or

ii. Where the Scheme of Arrangement involves the listed company and any other entity involving Promoter / Promoter Group, Related Parties of Promoter / Promoter Group, Associates of Promoter / Promoter Group, Subsidiary/(s) of Promoter / Promoter Group.

iii. Where the parent listed company, has acquired the equity shares of the subsidiary, by paying consideration in cash or in kind in the past to any of the shareholders of the subsidiary who may be Promoter / Promoter Group, Related Parties of Promoter / Promoter Group, Associates of Promoter / Promoter Group, Subsidiary/(s) of Promoter / Promoter Group of the parent listed company, and if that subsidiary is being merged with the parent listed company under the Scheme.

Such Schemes shall also provide that the Scheme shall be acted upon only if the votes cast by the public shareholders in favor of the proposal are more than the number of votes cast by the public shareholders against it. The term ‘public’ shall carry the same meaning as defined under Rule 2 of Securities Contracts (Regulation) Rules, 1957.

5.16 (b) For all other cases, the requirements stated at 5.16 (a) shall not be applicable. In such cases, the listed entities shall furnish an undertaking certified by the auditor and duly approved by the Board of the company, clearly stating the reasons for non-applicability of Para 5.16 (a).

5.16 (c) The undertaking as referred to in Para 5.16 (b) above shall be displayed on the websites of stock exchanges and the listed company along with other documents submitted, as stipulated under Para 2, Part A, Annexure I, of the SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013.

5.16 (d) Any mis-statement or furnishing of false information with regard to the said undertaking would be viewed seriously and liable for punitive action as per the provisions of applicable laws and regulations.

5.16 (e) For the purpose of this Circular, ‘Related Party’ shall carry the same meaning as defined under AS 18 or IND AS 24.


8. Applicability of this Circular: The Circular is applicable to listed companies undertaking Scheme of Arrangement which are governed by the SEBI Circular No. CIR/CFD/DIL/5/2013 dated February 4, 2013.

CLARIFICATION ON SEBI'S CIRCULAR DATED AUGUST 13, 2012 PROVIDING FOR THE "MANNER OF DEALING WITH AUDIT REPORTS FILED BY LISTED COMPANIES"

1.   SEBI has, vide circular dated August 13, 2012 providing for the "Manner of Dealing with Audit Reports filed by Listed companies", mandated listed companies to submit either Form A (Unqualified/ Matter of Emphasis Report) or Form B (Qualified/ Subject To/ Except For Audit Report) along with the Annual Report to the Stock Exchanges. It is also envisaged that the qualified audit reports will be scrutinized by Qualified Audit Review Committee (QARC) and if necessary, the company will be required to restate its books of accounts to provide true and fair view of its financial position.

2.   SEBI is in receipt of various queries with regard to restatement of books of accounts of listed companies envisaged in the captioned circular. The primary concern raised is whether the restatement of books of accounts needs to be carried out in the same financial year or in the subsequent financial year as a prior period item.


3.   In order to address the aforesaid concern, it is clarified that the restatement of books of accounts indicated in Paragraph 5 of the said circular shall mean that the company is required to disclose the effect of revised financial accounts by way of revised pro-forma financial results immediately to the shareholders through Stock Exchange(s). However, the financial effects of the revision may be carried out in the annual accounts of the subsequent financial year as a prior period item so that the tax impacts, if any, can be taken care of.
